AMAZON FBA NAVIGATORS AFFILIATE AGREEMENT
Effective Date: 30/03/2025
This Affiliate Agreement ("Agreement") is made between Amazon FBA Navigators Ltd ("Company") and the individual or entity signing up as an affiliate ("Affiliate"). This Agreement sets out the terms and conditions for participation in the Amazon FBA Navigators Affiliate Programme ("Programme").
1. COMMISSION STRUCTURE & PAYMENTS
1.1 Affiliate Commission
Standard Affiliates shall receive a 50% commission on the first month of any monthly subscription purchased through their unique referral link.
1.2 Super Affiliate Commission
Super Affiliates shall receive a 10% commission on the lifetime subscription of any paying member who subscribed via their unique referral link.
Super Affiliates shall also receive a 10% one-off commission for any FBA Navigators-created paid products and services, such as Mentorship 2.0 and Amazon Unleashed.
This does not include commissions on Featured Partner Products or any third-party products not owned by Amazon FBA Navigators Ltd.
1.3 Payment Terms
Commissions are only payable if the referred account remains active and in good standing for 30 days from the date of purchase.
Payments shall be made in GBP (ÂŁ).
A minimum commission balance of ÂŁ100 is required before payments are issued.
Affiliates shall bear all expenses related to receiving their payments, including bank fees and currency conversion charges.
Amazon FBA Navigators Ltd reserves the right to withhold payments if:
a) The Affiliate’s payment details are incomplete or inaccurate.
b) The Affiliate cannot be contacted.
c) The bank or payment processor imposes limitations.
d) The referred sale is subject to a refund, chargeback, or dispute.
2. ATTRIBUTION & REFERRAL TRACKING
2.1 Tracking Mechanism
Sales are tracked using cookies with a 90-day expiration period. If a customer purchases a product after 90 days of clicking the referral link, no commission shall be payable.
If multiple affiliate links are used, the last-clicked affiliate link before a purchase shall receive the commission.
2.2 Limitations on Tracking
If a visitor disables cookies, clears cookies, or uses private browsing, Amazon FBA Navigators Ltd cannot guarantee tracking, and no commission shall be payable.
3. INDEPENDENT CONTRACTOR STATUS
3.1 No Employment Relationship
The Affiliate is an independent contractor and shall not be considered an employee, agent, or representative of Amazon FBA Navigators Ltd.
The Affiliate is solely responsible for any taxes, National Insurance contributions, or legal compliance arising from their earnings under this Agreement.
4. AFFILIATE PROGRAMME PROMOTION RULES
4.1 Permitted Promotion Methods
Affiliates may:

Promote Amazon FBA Navigators' products on relevant websites, blogs, or social media platforms.

Use company branding and promotional materials as provided in the affiliate dashboard.

Create custom landing pages that clearly identify them as affiliates.

Run paid advertisements that include clear disclosure (e.g., “Ad,” “Advertisement,” or “Paid Partnership”).
4.2 Prohibited Promotion Methods
Affiliates must not:

Engage in misleading, deceptive, or unethical marketing practices.

Make false income claims without documented proof and proper disclosure.

Promote their own or related accounts to self-generate commissions.

Copy content from Amazon FBA Navigators’ website without permission.

Use Amazon FBA Navigators Ltd trademarks in domain names, social media handles, or advertisements.

Engage in spam, unsolicited emails, or cold outreach marketing.

Misrepresent themselves as employees or official representatives of Amazon FBA Navigators Ltd.
4.3 Mandatory Disclosure
Affiliates must include the following disclosure in their promotions:
"I am an independent Amazon FBA Navigators affiliate. I may receive commissions from purchases made through my link. My opinions are my own and do not represent official statements from Amazon FBA Navigators Ltd."
5. TERMINATION & BUYOUT OPTION
5.1 Termination Rights
Amazon FBA Navigators Ltd reserves the right to terminate an affiliate account at its sole discretion if an affiliate is found to be:
a) Violating any of the terms outlined in this Agreement.
b) Engaging in fraudulent activity or generating invalid commissions.
c) Engaging in marketing practices that harm the reputation of Amazon FBA Navigators Ltd.
5.2 Buyout Option
Amazon FBA Navigators Ltd reserves the right to offer a buyout option for affiliate commissions.
In the event of a buyout, the Affiliate shall receive a one-time lump sum payment equivalent to 12 months' worth of commission based on recent earnings.
Once the buyout payment has been made, the Affiliate’s account shall be permanently closed, and no further commissions shall accrue.
6. MODIFICATIONS TO AGREEMENT
6.1 Amendments
Amazon FBA Navigators Ltd reserves the right to modify or amend this Agreement at any time.
Changes shall take effect once published in the Affiliate Dashboard or communicated via email.
6.2 Continued Participation
The continued participation of an Affiliate in the Programme after modifications constitutes acceptance of the new terms.
7. GOVERNING LAW & DISPUTE RESOLUTION
7.1 Jurisdiction
This Agreement shall be governed and construed in accordance with the laws of England & Wales.
7.2 Dispute Resolution
Any disputes arising under this Agreement shall first be resolved via mediation.
If mediation fails, disputes shall be referred to binding arbitration in accordance with UK law.
8. AGREEMENT ACCEPTANCE
By signing up as an Affiliate, you acknowledge that you have read, understood, and agreed to the terms outlined in this Agreement.
